Terms and conditions (March 2022)

  1. Overview of the VEEIP platform

    1. VEEIP Limited operates a 'frictionless' customer engagement program (the VEEIP Platform) which rewards users (our members) with offers and experiences from their favourite brands, from places or events that they attend or from groups or organisations that they are a member of.
    2. VEEIP Limited is a limited company registered in England and Wales with registration number 06588217 and with its registered office at 20-22 Wenlock Road, London, N1 7GU (VEEIP, We, Us or Our).
    3. We use information provided by members to help us identify their spending in physical stores and online and their interaction with organisations who participate in the VEEIP Platform (Partners). Partners participate in the VEEIP Platform through one or more of their:
      1. Brands: consumer or business brands for the creation of offers in connection with member spend with such brands;
      2. Places: permanent stores, malls or other commercial or geographic spaces for the creation of offers in connection with spend at the location;
      3. Events: temporary shows, festivals, exhibitions, conferences or other events for the creation of offers in connection with spend at the event; and
      4. Crowds: a class or group of people identified by the Partner such as employees, customers, volunteers, beneficiaries or members of an organisation for the creation of offers or discounts by the Partner in question (or other Partners) exclusively for the members of such class or group.
    4. By tracking spend at Brands, Places and Events and collecting some additional information, we support Brands and Place and Event operators in identifying and rewarding their customers and in conferring targeted rewards at members of Crowds.
    5. References to Partners throughout these Terms shall be deemed to include both the company or other legal entity which operates the particular Brand, Place, Event or Crowd in the VEEIP Platform and the ultimate brand owner or licensor in the UK for the Brand, Place, Event or Crowd in question, as well as their appointed third parties, such as marketing agencies, for whom they remain liable. For example, a qualifying purchase at a franchised outlet of a Brand could involve a local or national franchise owner and the owner or licensor of the Brand in the UK which granted the franchise.
    6. Members participate in the VEEIP Platform by linking their payment methods to their membership account before using them to make purchases at Brands, Places and Events in the usual way. Members do not need to redeem vouchers or carry additional loyalty cards or tokens. Rewards are automatically redeemed through use of the linked payment accounts and devices.
    7. Access to the VEEIP Platform is provided free to our members, and is primarily funded through our commercial arrangements with Partners.
    8. Members control which Partners we share their identification information with. We only share identification information with Partners who the members have 'affiliated to' in the VEEIP Platform and members can easily cancel affiliations at any time.
    9. Partners reward customers who affiliate with them through promotions (which we call VEEIPs) which run in the VEEIP Platform. The terms below and the rules of each VEEIP set out the circumstances where rewards will most likely be payable, but ultimately the payment of rewards is at our discretion. We understand the importance of consistency in the exercise of our discretion and our members can be assured that we will not withhold reward payments unless we have a good reason for doing so, by reference to the terms below.
  2. About these terms

    1. These terms and conditions (the Terms) and the VEEIP Privacy & Cookie Policy together with any other schedules, policies or documents referred to below form the Agreement between VEEIP Limited (us or we) and you (referred to as you or Member). The Agreement governs your participation in the VEEIP Platform accessed through our website veeip.com and mobile/other device applications or Apps.
    2. You should read the Agreement carefully before participating in and using the VEEIP Platform and only proceed if you are happy to accept and to be bound by its terms.
    3. You are required to accept the terms of this Agreement as part of your registration process. In addition, by accessing or using the VEEIP Platform, you agree by your conduct to be bound by the Agreement. If you do not agree with or accept any of the Agreement, you should stop using the VEEIP Platform immediately.
  3. Participating in the VEEIP platform

    1. The VEEIP Platform is provided for your individual use only and is subject to your adherence to our Terms of Use available on the VEEIP Platform. You may not commercially exploit the VEEIP Platform by using it to provide services, discounts or information to third parties.
    2. You agree that you are solely responsible for all costs and expenses you may incur in relation to your participation in the VEEIP Platform.
    3. The VEEIP Platform can be accessed and used from any country. However it will, initially at least, operate for Partners in the UK only. If you choose to access the VEEIP Platform from locations outside the UK:
      1. you are responsible for compliance with applicable local laws in those locations outside the UK; and
      2. reward payments can only be made to payment methods issued by UK-based financial institutions or, in the absence of such payment methods and at our discretion, to a UK bank account.
    4. We may prevent or suspend your access to your participation in the VEEIP Platform if you do not comply with any part of the Agreement or any applicable law.
    5. We may make improvements and/or changes to the VEEIP Platform at any time and will use commercially reasonable endeavours to give you notice of these changes.
  4. Registration and account information

    1. In order to participate in the VEEIP Platform, you must register by providing the information requested on the registration pages. We will use the information you provide to create your membership account (Account). Your Account shall capture data that is personal to you.
    2. You agree to provide accurate, current and complete information as prompted by the VEEIP Platform's registration form and summarised in the Privacy & Cookie Policy (Member Data).
    3. You agree to maintain and keep your Member Data up to date and current throughout your involvement in the VEEIP Platform.
    4. If at any time we determine or have reasonable grounds to suspect that any of your Member Data is inaccurate or not current, we have the right to suspend or terminate your Account and your participation in VEEIPs and entitlement to Rewards.
    5. We may use your Member Data in accordance with this Agreement and the VEEIP Privacy & Cookie Policy.
  5. Login and security

    1. During registration you will be asked to specify a unique username and a password. You shall be responsible for maintaining the confidentiality of your login details.
    2. You shall be responsible for restricting access to any device which you use to log into the VEEIP Platform. You accept responsibility for all activity that occurs through access to your Account using your login details or from your devices or other devices you have used to access your Account including third party public devices.
    3. The VEEIP Platform has reasonable measures in place to protect your Account from unauthorised access. However, we cannot give an absolute guarantee of security in respect of your Account, Member Data and Member Activity Data (defined below) and we cannot promise you that our security measures will prevent hackers or other unlawful third parties from accessing your data on the VEEIP Platform. You accept the risks of unauthorised access of your Account and your data.
    4. You agree to immediately notify us if your login details are disclosed or you have reasonable grounds for thinking that they have been compromised or if there has been any unauthorised activity on your Account.
  6. Brand affiliation and voting

    1. Once you have created your Account, you will be able to log in to the VEEIP Platform using your username and password and participate in VEEIPs.
    2. The VEEIP Platform allows you to create 'affiliations' with Brands or vote for brands which are not currently participating in the VEEIP Platform. The VEEIP Platform will automatically create an affiliation between you and a participating Brand on detection of your first spend with the Brand following creation of your account. You may cancel affiliations with Brands at any time.
    3. When you affiliate with a Brand (manually or automatically):
      1. a record of your affiliation with the Brand will be recorded on the VEEIP Platform and will be visible to you and the Brand;
      2. you will start to receive communications from us on behalf of the Brand in relation to the Brand and its VEEIPs, in accordance with the Privacy & Cookie Policy; and
      3. you will be entitled to participate in VEEIPs relating to the Brand, subject to meeting any selection criteria which apply for each VEEIP.
    4. When you vote for a brand which is not currently participating in the VEEIP Platform, a record of your vote will be recorded on the VEEIP Platform and will be visible to you. If the brand subsequently joins the VEEIP Platform, your Vote will be automatically converted into an affiliation with the brand as a Brand on the VEEIP Platform.
    5. You may cancel an affiliation to a Brand using the VEEIP Platform at any time. On cancellation of an affiliation, your participation in any VEEIPs with the applicable Brand shall immediately cease (whether or not you have qualified) and any activities you have performed towards qualifying for rewards shall be disregarded in the VEEIP Platform.
  7. Places and events

    1. The VEEIP Platform allows you to create 'affiliations' with Places and Events. The VEEIP Platform will automatically create an affiliation between you and a participating Place or Event on detection of your first spend at the applicable Place or Event using an associated payment method. You may cancel affiliations with Places or Events at any time.
    2. When you affiliate with a Place or Event during the qualifying time period:
      1. a record of your attendance at the Place or Event will be recorded on the VEEIP Platform and will be visible to you, the Place or Event operator;
      2. you will start to receive communications from us on behalf of the Place or Event in relation to its VEEIPs, in accordance with the Privacy & Cookie Policy; and
      3. you will be entitled to participate in VEEIPs relating to the Place or Event, subject to meeting any selection criteria which apply for each VEEIP.
  8. Your payment methods

    1. A core aspect of the VEEIP Platform is the tracking of your purchases at Brands, Places or Events amongst anonymised payment information provided to us by third parties.
    2. In order to identify your transactions, we need to know certain information about any of your payment methods that you wish your Account to be linked to (which may include credit, debit or charge cards, electronic wallets or other payment devices of any kind). The information we ask you to provide does not allow us to take payments from your accounts, but does allow us to identify your transactions and make reward payments to you.
    3. You may link your Account to a maximum of 8 current payment methods at a time. You may only link to payment methods that you personally own or are authorised to operate, which include payment methods on personal or joint accounts or business accounts where you are the card or device holder. Payment methods shall be linked by you providing the information as requested on the VEEIP Platform, which must be complete and accurate. The VEEIP Platform will allow you to amend and cancel linked payment methods as required.
    4. After we have detected your first use of a linked payment method, the VEEIP Platform may require you to confirm certain details of the transaction (for example the total price or the store in which the transaction took place) in order to validate your ownership or control of the payment method. If you answer the validation question correctly, the payment method will become 'validated' against your Account. If you answer incorrectly, you will be given a maximum of two further opportunities to validate the payment method and if they are also unsuccessful, the payment method's link to your Account will be cancelled.
    5. We reserve the right to cancel any linked payment method if we suspect: (i) any fraud, bad faith or other attempt to circumvent the Agreement and purpose of the VEEIP Platform; or (ii) that you do not own or operate the payment method in question.
    6. Purchases made in cash or by any payment methods which your Account is not linked to will not be captured in the VEEIP Platform and will not count towards qualifying for VEEIPs. If you have a payment method with an identical number to another payment method registered in the VEEIP Platform (e.g. in the case of a joint bank account), only the first method may be linked to an Account in the VEEIP Platform.
    7. We are reliant on the provision of transaction information from every Partner in order to match your transactions and capture them in the VEEIP Platform. If the Partner is unable to provide the data to us (on a temporary or ongoing basis) we may not be able to capture your transactions, in which case the purchases will not count towards your qualification for any VEEIPs or there might be a delay before the transactions appear in the VEEIP Platform.
    8. If you make purchases at a concession outlet within a department store (or similar overarching organisation) the transaction may be recorded at the department store level (if it is a participating Partner), as opposed to the brand of the concession outlet, even if that brand is also participating in the VEEIP Platform.
  9. VEEIPs

    1. You shall be entitled to participate in the VEEIPs operated by Brands which you have affiliated with on the VEEIP Platform or Places or Events that you attend during qualifying time periods. You will also be entitled to participate in VEEIPs operated by or on behalf of Partners operating a Crowd that you are a member of (these will typically be operated by Brands, Places or Events, where eligibility is restricted to members of the applicable Crowd).
    2. VEEIPs will fall into one of four categories:
      1. A reward which will be paid to you if you make the specified value of purchases with the Brand or at the Place or Event within a specified period (for example spend £100 within 1 month and get £10 back);
      2. A reward which recognises or rewards past activity and which you will have already qualified for at the point of notification;
      3. A notification of an event, location, product or service which may specify a reward which you could qualify for by attending such event or location or by purchasing such product or service within a specified time period; and
      4. A reduction in the point of sale price of specified goods or services, with the discount amount to be reimbursed to the you via the VEEIP Platform
    3. VEEIPs will be offered to you on a discretionary basis. VEEIPs will be selected for you by us using the VEEIP Platform, based on your affiliations to Brands, attendance at Places and Events, membership of Crowds, previous activity within the VEEIP Platform and your Member Data. Therefore, you may not necessarily receive the same VEEIPs as other Members who are affiliated to the same Brand or attend the same Places or Events or who are members of the same Crowd.
    4. VEEIPs will be communicated to you by the VEEIP Platform and by such other methods as you may select from time to time for communications.
    5. At the outset of each VEEIP proposed to you, you will be notified about the specific details including:
      1. the reward;
      2. subject to clause 10.1, the charge (if any) payable for participation in the VEEIP;
      3. the actions you need to take to qualify for the reward; and
      4. the period in which you can qualify for and redeem a reward.
    6. You may participate in multiple, overlapping VEEIPs at the same time. When this happens, your purchases will count towards all VEEIPs to which they relate (according to the VEEIP rules) but the amounts they contribute to qualification in subsequent VEEIPs will be net of any rewards received in earlier VEEIPs. For example, if you redeem a '£5 off' Treat on a purchase of £15, your actual spend is £10 and this is the amount that will count towards your qualification for any other ongoing VEEIPs from the Brand.
  10. Charges for using the VEEIP platform

    1. We may charge you for your use of the VEEIP Platform, calculated as a percentage of amounts due to you on the redemption of discount, rebate, price reduction or other monetary rewards, collectively referred to as a “Reward". The charge shall be calculated using the VEEIP charge percentage in force at the time the Reward was redeemed. The current VEEIP charge percentage shall be notified on the VEEIP Platform. Changes to the VEEIP charge percentage shall be notified to you in the VEEIP Platform.
      Our charges shall be deducted automatically on payment of the Reward amounts to you. You will receive the Reward sum net of our charge. For example: A reward of £10 off a spend of £100 will result in a reward payment of £10, less the then applicable VEEIP charge calculated as a percentage of the £10 gross reward value.
    2. VEEIP charges deducted from Reward amounts payable to you shall be inclusive of all taxes.
    3. You will be able to see a breakdown of all VEEIP charges applied on your account in the VEEIP Platform.
    4. From time to time we may, at our discretion, reduce the VEEIP charge or waive it altogether. Any reduction or waiver of VEEIP charges shall not preclude us from reinstating the full charge on subsequent VEEIP Rewards. For the avoidance of doubt, we will not reinstate full charges contrary to any notices in which we have informed you that there will be no VEEIP charges for a defined period of time or for certain transactions or VEEIPs.
  11. Payment of rewards

    1. The payment of all Rewards is at our discretion.
    2. You hereby acknowledge and accept that Rewards are funded by the Partners and that the payment of a Reward by us to you is dependent upon us accessing the necessary funds from the applicable Partner. All Partners have contractual obligations to fund all Rewards and we shall use all reasonable endeavours to hold them to such obligations. Nevertheless, in the event that a Partner fails to provide the necessary funding, we shall not be liable to pay Rewards to you.
    3. Typically, Rewards in respect of goods that may be returned within a specified return period will be paid once that return period has ended. Any returns and refunds during that return period (including return or refunds in respect of the goods or services in question or any other goods or services) may affect your qualification for ongoing or recently closed VEEIPs. VEEIPs relating to perishable goods or delivered services may have shorter periods between qualification for the Reward and its payment. The payment period will be set out in the VEEIP rules.
    4. If you return any goods or cancel any services in exchange for a refund, the refund shall be deducted from your aggregate spend and taken into account in assessing whether you qualify for any ongoing or recently closed VEEIPs and may result in previous rewards being withdrawn. The application of refunds on current or recent VEEIPs shall be at our sole discretion, which we shall exercise in good faith in accordance with the intended purpose and spirit of the VEEIP Platform.
    5. Rewards shall be paid to:
      1. a current and validated linked, UK-issued payment method (and, if more than one is linked, the last used to make a purchase);
      2. in the absence of a current UK-issued payment method, at our discretion we may allow payment to a UK bank account which the VEEIP Platform, in which case the platform will ask you to provide the necessary details; or
      3. if, you have specified as such in the VEEIP Platform, to one or more participating charities of your choice.
    6. It is your responsibility to ensure that the repayment method details are correct and updated as necessary from time to time. We shall have no liability to recover or repay any amounts paid as rewards to card(s) or bank account specified by you to us, irrespective of whether they are your correct details or remain accounts that you control or have access to at the time of payment (unless you have informed us of such using the appropriate pages of the VEEIP Platform prior to the date of payment).
    7. If it is not possible to pay a Reward because you have failed to specify a current linked repayment method within 3 months of the date of qualification, we shall be entitled to pay the Reward to the charity/charities of our choice, without any further liability to you in respect of the Reward.
    8. You are solely responsible for any personal or corporate tax liability that may arise and for any other fees charged by your bank, governmental or non-governmental agencies as a result of your receipt of Rewards or other participation in the VEEIP Platform.
  12. Circumstances in which rewards may not be paid

    1. Without prejudice to any other clauses in these Terms, this clause summarises the circumstances in which we will exercise our discretion not to pay a Reward to you notwithstanding that you might be expecting to receive a Reward based on the VEEIP terms and any actions taken by you in apparent fulfilment of them:
      1. the applicable Partner does not pay the necessary funds to us in order for us to pay the Reward on its behalf;
      2. you breach any of the Terms whether before or after qualification for the Reward; or
      3. you return any goods to the Partner and receive a refund during the period between qualification for the Reward and payment.
  13. Crowds

    1. From time to time you might meet the eligibility criteria for one or more Crowds operated in the VEEIP Platform, for example as an employee, beneficiary or other form of membership of a class or group. Partners who operate Crowds in the VEEIP Platform may secure exclusive VEEIPs for their Crowd members from Brands, Places or Events.
    2. You may be invited to join new Crowds which you are eligible for and you will also be able to apply to join Crowds in the VEEIP Platform. You are not obliged to join Crowds that you are invited to join and you can cancel your membership of a Crowd at any time.
    3. We may require you to take steps to validate your membership of a Crowd on joining and periodically, for example by replying to a validation email or supplying a membership ID or other appropriate method, in order to receive (or continue to receive) the exclusive Crowd VEEIPs.
    4. Exclusive Crowd VEEIPs will be notified to you in the VEEIP Platform (and by such other methods as you may select from time to time for communications).
    5. Your right to receive exclusive Crowd VEEIPS shall cease if:
      1. you cease to meet the eligibility criteria for a Crowd; or
      2. the applicable Partner's Crowd arrangement with us to comes to an end.
  14. Rating and feedback

    1. The VEEIP Platform will allow you to rate your purchase experiences with Brands and to provide comments and feedback (Submissions). Your Submissions will be visible:
      1. to the Partner in question, together with your name (as first name and last initial only), the related transaction details and some geographic and demographic data; and
      2. to other members in an anonymised form.
    2. We are not obliged to monitor or moderate your Submissions to the VEEIP Platform. Where we do monitor or moderate Submissions we shall indicate how this is performed and who should be contacted in relation to any Submission of concern to you.
    3. We may remove or edit any Submissions to the VEEIP Platform whether they are moderated or not.
    4. Any Submission or communication to users of our VEEIP Platform must conform to standards of accuracy, decency and lawfulness, which shall be applied in our discretion, acting reasonably. In particular, you warrant that any Submission or communication is:
      1. your own original work and lawfully submitted;
      2. factually accurate or your own genuinely held belief;
      3. provided with the necessary consent of any third party;
      4. not defamatory or likely to give rise to an allegation of defamation;
      5. not offensive, obscene, sexually explicit, discriminatory or deceptive; and
      6. unlikely to cause offence, embarrassment or annoyance to others.
  15. Data

    1. We shall use your Member Data to create your Account and in the selection of appropriate VEEIPs for you on behalf of your affiliated Brands, Places and Events. We shall also share your Member Data with Brands that you affiliate to in the VEEIP Platform and with Places and Events that you make purchases at using linked payment methods, as set out in the Privacy & Cookie Policy.
    2. When you use any payment method that is linked to your Account, we will be able to match this to transaction data provided to us by/on behalf of Brands, Places or Events. Therefore, we will be able to identify your spending with Brands (whether or not you have affiliated to them on the VEEIP Platform) and at Places and Events (Member Activity Data). We will share your Member Activity Data with Brands that you have affiliated to (including the third-party franchise, outlet and concession owners if applicable) and with the owners or operators of the Places or Events, as set out in the Privacy & Cookie Policy. If we detect a transaction at a Brand, Place or Event that you have not previously affiliated with and not removed a previous affiliation, we shall notify you in the VEEIP Platform (and by such other notification methods as you have selected) and automatically create an affiliation between you and the Brand, Place or Event in question, which you can manually delete in the VEEIP Platform.
    3. Transaction Monitoring. If you choose to register a payment card in the VEEIP Platform, you authorise us to share your payment card information with the card network (for example Mastercard, Visa or American Express) so it knows you enrolled. You authorise the card network to monitor transactions on your registered card(s) to identify qualifying purchases, and for the card network to share such transaction details with us to enable your card-linked offer(s) (VEEIPs) to be implemented, and to target other offers that may be of interest to you. You may opt-out of transaction monitoring on the payment card(s) you have registered using the VEEIP Platform by deleting the card from your VEEIP account.
    4. Member Activity Data will record your net spend (of purchases and refunds) including delivery and service costs where applicable and where EPOS Data is available, the individual items that you have purchased or been refunded for.
    5. We will use your Member Activity Data in order to select appropriate VEEIPs for you on behalf of your affiliated Brands and any Places or Events that you attend.
    6. At any time you may cancel or reduce your participation in the VEEIP Platform by:
      1. terminating your Account;
      2. removing linked payment methods from your Account;
      3. removing affiliations from your Account; or
      4. using payment methods that have not been linked to your Account.
    7. You will be able to see your Member Activity Data on the VEEIP Platform, as long as your Account remains active. Your transactions will be presented in the form of receipts, recording the time, location, total spend and spend per item (where EPOS Data is available) of your matched transactions in the VEEIP Platform (Member Activity Receipts). Member Activity Receipts record your activity in the VEEIP Platform and may not be accepted as proof of purchase between you and the Partners in question. Member Activity Receipts can be viewed on the VEEIP Platform or received by email or other method of notification as you may select in the VEEIP Platform from time to time.
    8. We may identify you and share your Member Data and Member Activity Data only with Brands, Places, Events or Crowds that you are currently affiliated to in the VEEIP Platform (and any applicable third-party outlet, concession or franchise owners), as set out in the Privacy & Cookie Policy. Each Partner will only be able to see the Member Activity Data that relates to your spend with the Partner in question. If one or more Partners that you have affiliated to or attend are under common ownership and control, they and the applicable parent company, may be able to see your Member Activity Data at all commonly owned Brands, Places or Events.
    9. The Data Protection Act 2018 requires every data controller who collects and processes personal data to register with the Information Commissioner's Office. Our registration number is Z3085233.
  16. Data security

    1. We shall provide the services to you and conduct the VEEIP Platform in accordance with the applicable data protection laws in force in the UK from time and including, without limitation, the Data Protection Act 2018 and the UK General Data Protection Regulation.
    2. We have implemented reasonable and proportionate organisational, technical and physical measures against unauthorised processing and accidental loss or damage. Naturally, we cannot provide details without undermining such measures. However, we can confirm that we retain all of your payment method numbers and personal data in an encrypted format, which limits the potential harm that can occur even in the event of a data breach.
    3. The Payment Card Industry Data Security Standard (PCI DSS) has been developed to encourage and enhance the security of payment cards (e.g. debit cards and credit cards). The PCI DSS is adopted by the leading banks, card issuers and payment service providers in the United Kingdom and throughout the world. Our systems comply with the PCI DSS regulations.   17. Termination

    1. In the following circumstances we may immediately suspend and/or terminate your Account:
      1. a breach of this Agreement;
      2. at the request of a duly authorised law enforcement or other government agency;
      3. discontinuance of, or material modification to, the VEEIP Services and/or the VEEIP Platform;
      4. technical or security issues or problems;
      5. extended periods of inactivity;
      6. provision of false information by you to us;
      7. if your account is inactive and/or there are no transactions recorded in the VEEIP Platform for a substantial period of time (to be decided by us, at our discretion); or
      8. if your account and/or transaction activity falls below any minimum activity usage threshold as may be specified on the VEEIP Platform and amended from time to time).
    2. You agree that all terminations for cause shall be made at our sole discretion and that we shall not be liable to you or any third party for any termination of your Account and your participation in the VEEIP Platform, including in respect of any live VEEIPs.
    3. You may request immediate termination of your Account at any time using the VEEIP Platform.
    4. On termination of your Account for any reason:
      1. your login to the VEEIP Platform will be cancelled and you will no longer be able to access your Member Data or Member Activity Data;
      2. your involvement in any VEEIPs shall immediately cease irrespective of activity taken and whether or not you have qualified for rewards (or are close to qualification); and
      3. we may, at our discretion, pay any rewards which you have qualified for and which are unpaid at the date of termination, to the charity/charities of our choice.
    5. If your Account terminates for any reason, we shall retain the right to use, process and disclose your Member Data and Member Activity Data (in an anonymised format) as set out in this Agreement and in accordance with our data retention policy.
    6. If your Account terminates for any reason, we shall retain secure copies of your Member Data and Member Activity Data in order to allow your Account to be reactivated by you in the future. Alternatively, you may be entitled to the right to be forgotten under existing or proposed data protection laws.
  18. Disclaimer and limitation of liability

    1. We will provide the VEEIP Platform with reasonable care and skill. We do not make any other promises or warranties and in particular do not warrant that:
      1. your use of and participation in the VEEIP Platform will be uninterrupted or error-free. You agree that from time to time we may remove the VEEIP Platform for indefinite periods of time, or cancel the VEEIP Platform at any time for technical or operational reasons and will, to the extent practicable, notify you of this. The temporary unavailability of the VEEIP Platform should not adversely affect our ability to capture your transactions with Brands and your qualification towards VEEIPs rewards; or
      2. the VEEIP Platform will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion or events beyond our reasonable control, and we disclaim any liability relating arising in these circumstances.
    2. We only accept liability to you as the Account holder in relation your Account and your participation in the VEEIP Platform. We accept no liability whatsoever to any third party, whatever their relationship is with you.
    3. You may not recover from us any amount with respect to loss of profit, loss of data or damage to goodwill, or any consequential, incidental, indirect or special loss in connection with claims arising out of this Agreement or otherwise relating to the VEEIP Platform, whether or not the likelihood of such loss or damage was contemplated.
    4. In the event of any breach or negligence by us of any kind arising under this Agreement or in connection with the VEEIP Platform and any VEEIP, our liability shall be limited to the aggregate value of rewards in the applicable VEEIP(s) you are participating in at the time of such breach or negligence.
    5. These Terms shall not exclude or limit our liability for death or personal injury caused by our negligence or for any liability that cannot be excluded or limited by law.
    6. We shall have no liability to you for any breach of the Agreement caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; or flood, fire, explosion or accident.
    7. These Terms shall prevail in the event of any conflict or inconsistency with any other communications, including advertising or promotional materials.
  19. Customer services

    1. You will be able to maintain your Member Data in the VEEIP Platform. Customer care services are provided on a self-serve basis using the VEEIP Platform.
    2. If you do require our assistance, additional customer services are offered by email only. Contact details are set out on the VEEIP Platform.
  20. Intellectual property rights

    1. The VEEIP Platform and all intellectual property rights in it are owned by us, our licensors or both (as applicable). Intellectual property rights means rights such as: copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). We and our licensors reserve all of our and their rights in any intellectual property rights in connection with this Agreement. This means, for example, that we and they remain owners of them and free to use them as we and they see fit.
    2. Nothing in these Terms grants you any legal rights in the VEEIP Platform, other than as necessary to enable you to create and maintain your Account and participate in VEEIPs. You agree not to adjust, to try to circumvent or delete any notices contained on the VEEIP Platform (including any intellectual property notices) and in particular in any digital rights or other security technology embedded or contained within the VEEIP Platform.
  21. Variation

    1. We reserve the right to vary the terms of the Agreement from time to time. New terms will be displayed on the VEEIP Platform and by continuing to use and access the VEEIP Platform following such changes, you agree to be bound by any variation made by us. We will use commercially reasonable endeavours to give you as much notice as possible of any change.
  22. Other important terms

    1. We reserve the right to vary the terms of the Agreement from time to time. New terms will be displayed on the VEEIP Platform and by continuing to use and access the VEEIP Platform following such changes, you agree to be bound by any variation made by us. We will use commercially reasonable endeavours to give you as much notice as possible of any change.
    2. Each of the conditions of this Agreement operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
    3. If we fail to insist that you perform any of your obligations under this Agreement, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
  23. Disputes and governing law

    1. We will try to resolve any disputes with you quickly and efficiently.
    2. If you are unhappy with us under this contract please contact us as soon as possible using the details set out in the appropriate section of the VEEIP Platform.
    3. If you and we cannot resolve a dispute using our internal complaint handling procedure, we will:
      1. let you know that we cannot settle the dispute with you, and
      2. give you certain information required by law about our alternative dispute resolution provider.
    4. If either party needs to resort to court proceedings, the English courts will have exclusive jurisdiction in relation to this Agreement
    5. English law will apply to this Agreement.
